Terms of Service

1. The platform
[Draft, pending legal review] Priv Label is a wholesale food marketplace for business buyers. Priv Label sells the goods to buyers: it buys them from food manufacturers it has checked and resells them. Buyers pay by bank transfer to Priv Label, into escrow held by a licensed escrow provider (optional escrow protection), or with Priv Label’s financing partner (pay later, for approved buyers). Freight and the pre-shipment inspection (on every order), and the optional escrow protection and cargo insurance, are handled through licensed partners. See the Escrow & Payment Terms and Payment options.
[Draft, pending legal review] Priv Label’s service ends at the destination port. Unless the buyer adds customs clearance and door-to-door delivery at checkout, the buyer clears customs and collects the goods at the destination port. If the buyer does not choose cargo insurance, the buyer carries the risk of loss or damage during sea transit after the goods are loaded.
[Draft, pending legal review] Priv Label arranges the sea freight to the destination port the buyer names at checkout. Each order is sold CFR (Cost and Freight) to that named port, or CIF (Cost, Insurance and Freight) when the buyer chooses basic cargo insurance, under Incoterms® 2020. The risk of loss of or damage to the goods passes to the buyer when the goods are loaded on board the vessel at the port of loading. Priv Label chooses the port of loading for each lane (for goods from Egypt: Sokhna, Alexandria or Damietta). The order page and the invoice name the Incoterm, the destination port and the port of loading.
2. Accounts
You must be 18 or older and authorised to act for your company. Keep your password private; you are responsible for activity under your account.
3. Orders and payment
[Draft, pending legal review] An order is confirmed when every manufacturer on it has accepted it. The buyer must then pay within 5 business days, or Priv Label may cancel the order. The buyer pays by bank transfer to Priv Label, into escrow (optional escrow protection), or with Priv Label’s financing partner (pay later). With bank transfer and pay later, Priv Label holds the money. With escrow protection, a licensed escrow provider holds it. In each case the manufacturers are paid only when the order is cleared to ship: after a passed pre-shipment inspection, which every order has. Failed inspections are refunded less any agreed inspection fees, back the way the money came. The buyer can download a summary of the inspection result from the order page; the inspector’s own report names the manufacturer, so it is not released to buyers. Full details are in the Escrow & Payment Terms.
4. Confidentiality and non-circumvention
Priv Label does not tell buyers which manufacturer makes a product, and does not tell manufacturers who the buyer is, before or after payment. If a party learns the identity of the other side of a Priv Label order, for 24 months after that order it agrees not to trade the same products with that party outside the platform in order to bypass Priv Label. [Draft, pending legal review]
5. Manufacturer obligations
Manufacturers warrant that documents and certifications submitted are genuine and current, and that goods match the listed specification, including the minimum remaining shelf life at loading. Manufacturers make Priv Label the same promises about the goods that Priv Label makes to buyers, with the same remedies.
6. Buyer obligations
[Draft, pending legal review] A buyer is the importer of the goods. It holds the import licence and registrations its country requires, clears customs and pays import duty and VAT, and pays the charges that arise at the destination port once the goods arrive (storage, demurrage, detention, reefer power). Priv Label never acts as the importer. Goods that are not collected within 30 days of becoming available may be sold, returned or destroyed at the buyer’s cost. For private-label orders the buyer owns or may use its brand and registers the product with its food authority. See the Buyer Trade Agreement (sections 17 to 21).
7. Fees
[Draft, pending legal review] Prices are set by Priv Label and shown per line on the invoice: goods (per case), sea freight to the named destination port the pre-shipment inspection (one flat fee on every order), any options the buyer chose (insurance, extras), and delivery date change fees. The private-label design fee is USD 450 for each private-label product line. Fees for manufacturers are set out in the Manufacturer Seller Agreement.
8. Liability
[Draft, pending legal review] To the extent permitted by law, Priv Label’s liability is limited to the amount Priv Label kept on the order concerned, after paying the manufacturers and the providers of the services on it. Delays by a manufacturer, loss or damage in transit and changes to the delivery date are covered in the Buyer Trade Agreement (sections 9 to 12), including refunds of the price of affected goods.
9. Termination
You may delete your account at any time. Priv Label may suspend accounts that breach these terms.
10. Law
These terms are governed by the laws of the United Arab Emirates.
